Plain-English summary: By selling on West Velocity you confirm you are a real, legitimate business; you agree to list accurate products with fair pricing, ship on time, accept reasonable returns, pay our commission on completed sales, and respect our brand and other sellers. We may suspend accounts that break these rules.
1. Parties & definitions
These Seller Terms & Conditions ("Terms") form a binding agreement between:
- Poonthottathil Gardenz Fresh LLP ("PGF LLP", "we", "us", "our") — a Limited Liability Partnership incorporated in India on 18 November 2021 under the Limited Liability Partnership Act 2008, LLP Identification Number AAZ-5387, registered with the Registrar of Companies, Ernakulam (Kerala). Registered office: Room No. 6/477Q, Rahmath Nagar, Edayur Post, Malappuram, Kerala 676552, India. Designated partners: Shabeer Mohammed Poonthottathil (DIN 09405135), Ponthottathil Muhammed Shafeekh, and Poonthottathil Zameel Mohammed. Recognised by the Department for Promotion of Industry and Internal Trade (DPIIT), Government of India under Startup India certificate DIPP124938 (valid until 17 November 2031). Operator of the West Velocity marketplace and related brands including Strovolt, MarknStamp, and Gardenz Fresh; and
- You ("Seller") — the individual, partnership, company, or other legal entity that registers a seller account on the platform.
"Platform" means the West Velocity marketplace at west-velocity.com, the Social Hub, mobile applications, and any subdomain, brand site, or related service operated by PGF LLP.
"Buyer" means any user that places an order through the Platform. "Listing" means a product or service published by you on the Platform.
2. Eligibility & verification
To register as a Seller you confirm that you:
- Are at least 18 years old and have full legal capacity to enter contracts;
- Are a legitimate business, sole trader, or licensed professional in your country of operation;
- Hold all licences, registrations, and permits required to manufacture, distribute, or sell the products you intend to list;
- Will provide true, accurate, and complete information during registration (entity type, legal name, trade name, address, tax IDs, supporting documents); and
- Are not located in a country subject to comprehensive trade sanctions imposed by the United Nations, India, Saudi Arabia, the United States, the European Union, or the United Kingdom.
We may verify your identity, business documents, and tax registration before approving your account, and may re-verify at any time. We may reject or revoke approval at our reasonable discretion if verification fails.
3. Product listings & accuracy
For every Listing you publish you are responsible for ensuring that:
- The product is real, in stock (or backorder/lead time is clearly stated), genuine, and lawfully available for sale in the destination country;
- Title, description, images, specifications, dimensions, materials, country of origin, HS code, and any safety/compliance information are accurate and not misleading;
- Brand names, trademarks, and IP belong to you or you are an authorised reseller (see §8);
- Datasheets, certifications, and technical documents you upload are authentic;
- Images do not contain watermarks, prices, or contact information for off-platform sales.
We may edit, hide, or remove Listings that violate these standards, that fail SEO/quality thresholds, or that may expose Buyers to harm.
4. Pricing, taxes & currencies
You set your own prices. By listing you confirm:
- Prices include or exclude VAT/GST as clearly stated, in the currency you select;
- You are responsible for collecting and remitting all applicable taxes (KSA VAT, India GST, customs duties, etc.) in your jurisdictions;
- Where you use the "Sell To Countries" feature to gate price visibility, you accept you may receive enquiries from outside those markets;
- You will not artificially inflate prices to qualify for promotions or manipulate platform algorithms;
- Bulk/distributor pricing tiers, MOQ, and lead times are honoured as published.
5. Orders, fulfilment & shipping
When a Buyer places an order:
- You commit to fulfil within the lead time stated on your Listing;
- Goods must be packed safely, labelled correctly, and shipped via a tracked method appropriate to the order value;
- You must update order status (accepted, processing, shipped with tracking, delivered) in the seller dashboard within 48 business hours of the event;
- If you cannot fulfil, notify us immediately so the Buyer can be refunded;
- For international orders, you handle export compliance, customs declarations, and documentation truthfully.
6. Commission, fees & payouts
PGF LLP charges a commission on completed sales. Commission rates, payment processing fees, and any subscription or listing fees are published in the seller dashboard and may be updated with 30 days' notice.
- Payouts are made to the bank account or wallet you nominate during registration, in the settlement currency you select;
- Payouts release after the Buyer's return window has closed and any chargebacks/disputes are resolved (typically 14-30 days from delivery);
- We may withhold payouts where fraud, IP infringement, or buyer-protection cases are pending;
- You are responsible for currency conversion costs and any banking charges levied by your bank.
7. Returns, refunds & chargebacks
You agree to honour the return policy you publish on each Listing, subject to a minimum 7-day return window for non-customised industrial goods (longer where local law requires). For damaged, defective, or materially-mis-described items you accept full refund or replacement at our discretion. Repeated returns above platform thresholds may trigger account review.
8. Intellectual property & brand use
You retain ownership of your trademarks, copyrights, and proprietary content. By uploading Listings you grant PGF LLP a worldwide, royalty-free, non-exclusive licence to display, reformat, translate, and promote that content on the Platform, in marketing, search-engine snippets, and partner channels for as long as your account is active.
You confirm you have all necessary IP rights for everything you upload. You agree not to infringe third-party trademarks, copyrights, patents, or designs, and to respond to takedown notices within 5 business days.
The names West Velocity, Strovolt, MarknStamp, and the PGF LLP logos remain our property; you may not use them in your own marketing without written permission.
9. Customer data & privacy
Buyer information you receive (name, address, phone, order details) may only be used to fulfil that specific order. You may not:
- Build a marketing list from buyer data;
- Contact buyers off-platform to redirect future orders;
- Share, sell, or transfer buyer data to third parties;
- Retain buyer data longer than required for tax/legal purposes.
Our handling of personal data is governed by the Privacy Policy.
10. Prohibited products & conduct
You may not list, and we may immediately remove:
- Counterfeit, replica, or unauthorised branded items;
- Weapons, ammunition, or items restricted by import/export law in source or destination countries;
- Hazardous materials, controlled chemicals, or unlicensed pharmaceuticals;
- Items that infringe third-party IP;
- Adult content, gambling services, or any product prohibited under Saudi Arabian or Indian law;
- Recalled or unsafe products.
You also agree not to manipulate reviews, create fake accounts, scrape the Platform, interfere with other Sellers, or run any activity that harms the integrity of the marketplace. The full standard of conduct is set out in the Seller Code of Conduct.
11. Suspension & termination
We may suspend or terminate your account immediately for material breaches of these Terms, fraud, or repeat customer complaints. For non-material breaches we will normally give written notice and a cure period of 7-14 days. On termination:
- Your active listings are removed;
- Funds owed to you (after deducting commissions, refunds, and chargebacks) are paid out within 60 days;
- You remain liable for any obligations to Buyers placed before termination.
You may close your account at any time from the seller dashboard.
12. Warranties & liability
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, PGF LLP is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, goodwill, or data arising from your use of the Platform. Our total aggregate liability to you in any 12-month period is limited to the commission we have collected from you in that period.
You agree to indemnify and hold harmless PGF LLP, its directors, partners, employees and affiliates against any claim, loss, damage, fine, or legal cost arising from products you sold, content you uploaded, or your breach of these Terms.
13. Disputes & governing law
These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict-of-laws principles. The courts at Malappuram, Kerala have exclusive jurisdiction, subject to the arbitration clause below.
The parties will first attempt to resolve any dispute amicably within 30 days of written notice. If unresolved, disputes will be settled by arbitration under the Arbitration and Conciliation Act, 1996 (India). The seat and venue of arbitration will be Kerala, India. The arbitration will be conducted in English by a sole arbitrator agreed by the parties or, failing agreement, appointed under the Act. The arbitrator's award will be final and binding.
Sellers based in the Kingdom of Saudi Arabia may, at their option, elect arbitration under the rules of the Saudi Centre for Commercial Arbitration (SCCA) with seat in Riyadh, by giving written notice within 14 days of the dispute first arising.
14. Changes to these terms
We may update these Terms from time to time. Material changes will be notified by email and via the seller dashboard at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance.
